Terms and Conditions

PAYMENT TERMS Toronto Sky maintains a 30-day billing cycle. Invoicing recurs every 30 days, from the first invoice date.
Payment is monthly in advance, via Direct Debit. This Direct Debit can be against your bank account or credit card.


WEB CREDENTIALS CHECKLIST Toronto Sky requires access to various online credentials which you hold. Please complete and promptly return the checklist I submit. Toronto Sky is unable to commence work without the necessary access.


MEDIA SPEND (IF RUNNING GOOGLE ADWORDS) Client pays its own media spend directly to Google.
The Client may request suspension of media spend (cost of clicks) on Google by emailing [email protected].


SERVICE AND DELIVERY Toronto Sky will deliver services in line with best practice and endeavours.
INDEMNITY AGAINST INDUSTRY TRENDS The Client indemnifies Toronto Sky against losses incurred as a result of industry downturns, falling sales, trend reversals, lower consumer confidence and financial crises.


ADDITIONAL SERVICES Work falling outside the scope of this proposal will be charged at an hourly rate of $100. The client agrees to pay for any additional work requested, and Toronto Sky is not obliged to discount this rate. This includes a future change of mind, change of marketing strategy.


CONTRACT TERM AND TERMINATION The Client may cancel this Contract by providing thirty (30) days’ notice in writing, emailed to [email protected].
If the Client’s written notice does not coincide with regular recurring invoicing, the Client agrees to pay the balance of the thirty (30) days’ notice period, pro-rata from the date of the notice of termination. Where no written notice is provided, the Client agrees to pay a cancellation fee equivalent to thirty (30) days’ service & media spend under the most recent arrangements.


ERRORS
I can’t guarantee that my work will be error-free (we’re human!) so I can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised me of them.
